End UserLicense Agreement

Section OnePrivate, single-company software

The Software is built for the internal use of McDonald Collision LLC and its affiliated entities. It is not offered, sold, licensed, or distributed to the public, and it is not listed on the QuickBooks App Store. The only authorized users are McDonald Collision LLC personnel and contractors acting on its behalf. If you are not such a person, you have no license to use the Software.

Section TwoLicense grant

Subject to this Agreement, McDonald Collision grants authorized users a limited, non-exclusive, non-transferable, revocable license to use the Software solely for the internal business purpose of recording vendor bills and expenses in the company’s own QuickBooks Online company file. No other use is licensed.

Section ThreeWhat the Software does

The Software reads vendor receipts and invoices supplied by McDonald Collision, extracts the vendor, date, amount, and reference number, and creates corresponding Bill or Purchase records in the company’s QuickBooks Online account. It may attach the source document to the record it creates. To do this it reads the company’s vendor list and chart of accounts.

The Software does not move money. It does not pay bills, issue payments, print checks, initiate transfers, or apply payments to any transaction. Bills it creates are recorded as unpaid. Payment remains a manual action taken by authorized personnel directly in QuickBooks Online.

Section FourRestrictions

You may not use the Software to access any QuickBooks company file other than those owned by McDonald Collision LLC. You may not sublicense, resell, rent, or redistribute the Software. You may not reverse engineer, decompile, or disassemble the Software except where that restriction is prohibited by applicable law. You may not use the Software in violation of any applicable law or of the Intuit Developer Terms of Service. You may not remove or obscure any proprietary notices in the Software.

Section FiveIntuit and QuickBooks Online

QuickBooks and QuickBooks Online are products of Intuit Inc. The Software is not produced, endorsed, or supported by Intuit. Use of QuickBooks Online is governed separately by your agreement with Intuit. Connecting the Software to a QuickBooks Online company requires an authorized administrator of that company to grant access, and that access may be revoked at any time from within QuickBooks Online.

Section SixCredentials and access

Authorization to access QuickBooks Online data is granted through Intuit’s OAuth 2.0 flow. Access tokens are stored in encrypted form. Authorized users are responsible for keeping their QuickBooks Online credentials secure and for revoking the Software’s access if it is no longer needed.

Section SevenAccuracy and review

The Software reads scanned and electronic documents automatically. Automated extraction can be wrong. Records it creates are subject to review by McDonald Collision personnel, and the Software is designed to decline and flag documents it cannot read confidently rather than record uncertain values. Users remain responsible for the accuracy of their books, for reviewing records before payment, and for compliance with applicable accounting and tax obligations.

Section EightNo warranty

THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT. McDonald Collision does not warrant that the Software will be uninterrupted, error-free, or that any record it creates will be accurate or complete.

Section NineLimitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, McDONALD COLLISION SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS, ARISING OUT OF OR RELATING TO THE SOFTWARE, WHETHER IN CONTRACT, TORT, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Section TenTerm and termination

This Agreement is effective until terminated. It terminates automatically if you breach it. McDonald Collision may suspend or terminate the Software or any user’s access at any time and for any reason. On termination, you must stop using the Software.

Section ElevenGoverning law

This Agreement is governed by the laws of the State of Mississippi, without regard to its conflict-of-laws rules. The exclusive venue for any dispute is the state or federal courts located in Adams County, Mississippi.

Section TwelveChanges

McDonald Collision may update this Agreement. The version posted at this address is the current one, and the effective date above reflects the most recent change.

Section ThirteenContact
